SUMMARY
The Director, Finance, role is a steppingstone to the senior leadership team, and an ideal role for an ambitious, hands-on finance professional with a breadth of skills and desire to apply their financial and business acumen in a rapidly growing company. The ideal candidate has the technical skills required to quickly solve problems and implement solutions, coupled with the ability to seamlessly step back and contribute to the Company’s larger strategic vision.
The Director, Finance, will play a pivotal role in supporting the Company’s corporate, commercial and operational success in field of autoimmune diagnostics. The successful candidate will bring a strong finance, accounting, and governance skillset coupled with a business savvy, solutions-oriented and creative mindset. The Director, Finance will lead Augurex’s finance and accounting function, including working with the Company’s external accounting, tax and legal firms to support commercial growth. Additionally, the Director, Finance will work with the CEO in matters related to investor relations, capital formation, and corporate governance. The Director, Finance will manage the quarterly and annual financial reporting cycles, treasury and budget processes, and the implementation of financial systems, to support the company as it grows.
ROLE AND RESPONSIBILITIES
Accounting, Financial Reporting & Tax
- Oversee the month-end, quarter-end and annual financial reporting processes
- Evaluate, design and implement controls and processes to align with the stage of business and operations
- Oversee and manage the Company’s external accounting and payroll function
- Optimize the historical GL, including alignment with lines of business
- Lead interactions with the Company’s external auditors, including planning and overseeing the external audit
- Lead interactions with the Company’s external tax firm, including planning and overseeing tax filings, including annual returns, SRED and SALT
FP&A
- Lead the annual budgeting and forecasting process, including working with functional leaders to drive assumptions and model inputs
- Develop, implement and monitor internal FP&A frameworks and KPIs, including quarterly reporting metrics for functional leaders, the executive team and board of directors
Treasury
- Manage the Company’s treasury function, including optimizing cashflows, deposits and interest income
- Develop, implement and manage the Company’s treasury policy, including reporting to executive management and the audit committee of the board of directors
- In conjunction with external accounting and our banking partners, implement and monitor F/X policies and procedures
IT & Systems
- Review and if required recommend changes to information technology and enterprise systems impacting financial operations, including accounting, ERP, expense management and payroll systems
- Supervise manage the corporate IT function, including in-house staff and external managed services providers
Corporate Finance, Governance & IR
- In conjunction with external corporate counsel and the CEO, manage Company’s equity instruments, including cap tables, stock-option registers, and associated equity models
- In conjunction with executive management, facilitate engagement with, and respond to inquiries from, shareholders of the Company
- Support capital formation activities, including debt, equity or alternative funding sources
- Manage reporting requirements under government and/or debt funding agreements, including EBC filings, PacifiCan BSP funding and other grants or assistance programs
- Establish and manage the corporate data room to ensure preparedness for partnering, financing or strategic transactions
Governance
- In conjunction with external counsel and the CEO, manage aspects of the AGM process, including circulars, proxies and shareholder materials, as required
- Respond, as required and in conjunction with external counsel, to inquiries from Canadian or international securities regulators or regulatory bodies
Commercial
- In conjunction with commercial operations, support financial models included in global sales, licencing or partnership agreements
- In conjunction with commercial operations, contribute to the preparation, and subsequent review and evaluation or RFPs for clinical, CMC or operational activities
QUALIFICATIONS AND EXPERIENCE
- An undergraduate degree in finance/accounting or the life sciences, and a professional accounting or finance designation (CPA, ACA or equivalent) or an equivalent combination of technical certifications and experience
- 10+ years of finance/accounting work experience, ideally in the biotech or pharma sector, including experience managing in-house and external accounting and finance teams and external auditors
- A strong current understanding of IFRS/ASPE with familiarity of US GAAP
- Experience working in a multi-currency environment, including selecting and optimizing functional/reporting currency
- Deep knowledge and experience with FP&A processes, including budgeting, forecasting, and periodic analysis of variances and KPIs common in the biotechnology, medical device or diagnostics industries
- Experience with inventory management and commercial sales processes
- Familiarity and experience with the US payor/reimbursement environment including exposure to public or private company securities matters
- Working knowledge of corporate governance principles and best-practices
- Experience managing tax compliance processes, including working with external tax advisors and evaluating tax strategies with a strategic business lens
- Experience with corporate finance and capital formation (debt/equity/convertible instruments), investor relations and business development transactions
- Strong analytical and modeling skills and experience with financial systems
- Proven business partnering skills with ability to work and excel in cross-functional teams
- Excellent communication, presentation and organizational skills
